Terms of service.

Welcome to Kida Digital. By engaging our services, you (“the Client”) agree to the following Terms of Service. Please read carefully—these outline how we work, what you can expect, and your responsibilities as a client.

1. Scope of Services

Kida Digital provides professional website design and development services, specialising in Shopify and Squarespace platforms. Our services may include:

  • Launch-ready Shopify or Squarespace store setup

  • Brand and customer analysis

  • Creative direction and market research

  • Full site copywriting

  • Foundational SEO setup

  • Shipping and logistics configuration

  • Essential pages

  • Training and handover

The full scope of your project is detailed in your Proposal / Scope of Work document, which forms part of these terms.

2. Project Timeline

Project timelines are outlined in your Proposal / Scope of Work. Timely responses, provision of assets, and approvals from you are essential to meet deadlines. Delays on your end may result in adjusted timelines, delayed deliverables, or additional fees.

3. Payment Terms

  • A 50% non-refundable deposit is required before work begins.

  • Work commences only after the deposit is received. Timelines adjust based on payment date.

  • 40% is payable upon design approval or at the end of week 2 (whichever comes first).

  • 10% balance is due upon completion (prior to launch and transfer of ownership).

  • Late payments incur a 10% late fee per week, starting 7 days after invoice delivery.

  • All fees are exclusive of GST. 10% GST will be added to all invoices.

  • If the project is cancelled after commencement, the deposit is non-refundable. Kida Digital may invoice for partial work completed.

  • Additional work outside the agreed scope will be quoted and invoiced separately.

  • If your signed Proposal / Scope of Work / Contract outlines different payment terms or timelines specific to your project, those terms will apply instead of the above.

4. Revisions & Support

  • Two (2) rounds of revisions included, covering up to three (3) hours of reasonable design/content changes after the first draft.

  • Additional revisions or major changes are billed at $125/hour + GST.

  • A 14-day post-launch support period covers bugs, typos, or feature malfunctions (not design changes).

  • Revision specifics are detailed in your Scope of Work.

5. Ownership & Delivery

  • Final deliverables are provided via Shopify, Squarespace, or email.

  • You are responsible for saving all files and passwords upon delivery.

  • Kida Digital retains access as a collaborator for up to 7 days post-launch for support purposes.

  • We may showcase completed work (excluding confidential details) in our portfolio and marketing.

6. Client Responsibilities

  • Provide all required platform access, assets, feedback, and approvals promptly.

  • Delays in providing feedback or materials may result in timeline changes or extra fees.

  • If feedback/materials are not provided within 30 days, the project is considered abandoned and a $150 + GST reactivation fee may apply.

7. Communication & Extra Costs

  • Meetings/calls over 1 hour are billed at $125/hour + GST.

  • Significant additional correspondence may incur hourly charges.

  • Communication may occur via email, text, or calls (10am–4pm AEDT unless agreed otherwise).

  • Add-ons or “Phase 2” work are separately scoped and contracted.

8. Confidentiality

  • Both parties agree to keep all project details confidential unless written permission is given.

  • Confidential information will not be shared with third parties unless required by law.

9. Intellectual Property

  • For original design work (logos, brand guidelines, custom graphics), you receive a 12-month non-exclusive, non-transferable licence from public launch.

  • Continued use after 12 months requires licence renewal, buyout, or royalty agreement.

  • Kida Digital retains rights to pre-existing materials, templates, and tools.

  • Upon final payment, you receive full rights to the completed website and custom elements.

10. Termination

  • Deposits and payments made before work starts are non-refundable.

  • Either party may terminate via written notice. Kida Digital will invoice for work completed and may, at its discretion, transfer ownership of incomplete work.

11. Dispute Resolution

  • Any disputes will be resolved through mediation or arbitration before legal action.

12. Force Majeure

  • Neither party is liable for delays due to events beyond their control (natural disasters, illness, etc.). Notification must be provided within 5 business days.

13. Insurance & Liability

  • Liability is capped at the contracted project fee.

  • Kida Digital is not liable for revenue loss or business deviation arising from the project.

14. Subcontracting

  • Kida Digital may engage subcontractors or partners for aspects of your project (e.g., copywriting, design, development).

15. Refund Policy & Change of Mind

  • No refunds are provided unless work is fundamentally different from the agreed scope or issues are not rectified within a reasonable timeframe.

  • If you change your mind after a platform or design decision has been made and costs incurred, additional costs may apply.

16. Project Duration

  • Work is expected to be completed within the agreed timeframe. Projects with no progress for over one month due to client delays may be closed and subject to reopening fees.
